Frequently Asked Questions

A project is one discrete legal matter: a single contract (NDA, MSA, commercial lease), a demand letter, a defined research question, or a business registration or renewal. If a transaction involves multiple distinct contracts — an asset purchase with separate exhibits and ancillary agreements — each counts separately. A negotiation that spans multiple months is still one project; it carries over month to month until it closes.
If a project is still active at the end of a billing cycle — negotiations ongoing, government agency still processing, counterparty still reviewing — it carries into the next month and holds one of your available project slots until it resolves. Open matters don't free up capacity just because the calendar turned.
Your subscription benefits stay fully active — calls, portal access, monthly meeting. For any new deliverable beyond the limit, you have two options: pay a discounted flat rate for that specific work, or upgrade to the next tier. Nothing moves forward without that conversation first.
All plans cover transactional and advisory work: contracts, formations, compliance, commercial negotiations, and business legal strategy. Court litigation is excluded. If a dispute goes to litigation, we'll help you find and manage the right outside counsel — that engagement is handled separately.

Three options exist for business legal work.

BigLaw and large regional firms bring deep resources and brand recognition — and charge accordingly. Hourly rates, unpredictable invoices, and associates handling your matter while partners manage their larger clients. For the contracts, formations, and commercial negotiations that define your day-to-day, you're overpaying for infrastructure you're not using.

DIY platforms — LegalZoom, Clerky, Stripe Atlas — can file forms and generate templates. What they can't do is think, negotiate, or adapt. When a counterparty pushes back on your MSA, when your cap table has a problem, when a government agency asks a follow-up question, the platform has nothing left to offer.

Ruta.Legal sits between those two: AI-native infrastructure that handles the repetitive and administrative work, combined with attorney judgment for everything that requires it. Fixed monthly cost. Defined scope. Direct access to your attorney — not a paralegal, not a portal bot.

Because the billable hour rewards time spent, not problems solved. With a subscription, your monthly cost is fixed before the month begins. You call early — before a small issue compounds — because picking up the phone doesn't start a clock. Flat fees apply the same logic to defined projects: you know the price before you commit. No invoices reconstructed from six-minute increments.
Yes. Schedule a free introductory call to discuss your business, your current needs, and whether a subscription makes sense. If it doesn't, we'll say so.
Yes — up or down, at the start of any new billing cycle. Slower quarter, step down. Closing a round or expanding operations, step up. The tiers are designed to move with your business.
Because legal value compounds with context. The longer your attorney knows your business — your deal structures, your risk tolerance, your counterparties — the faster and sharper the work gets. A one-month engagement gets you a document. A sustained relationship builds a legal foundation.
Yes. The three tiers cover the most common configurations, but businesses don't always fit standard structures. If your needs are higher volume, practice-specific — ongoing contract negotiation, M&A support, a particular compliance program — or you want to combine elements across tiers, reach out. Custom subscriptions are a regular part of how we work. We'll scope it, price it, and put it in writing before anything starts.
For most startups and SMEs, yes — formation, equity and governance, commercial contracts, vendor agreements, employment matters, and regulatory compliance all fall within scope. Where specialized expertise is required (complex IP litigation, federal securities work, sector-specific regulatory matters), we source, vet, and manage outside counsel on your behalf. One point of contact. We handle the coordination.
